  1. General

    1. The website https://partners.fynd.com/ or any other associated website(s) ("Website(s)") including related mobile site, if any (collectively called "Platform") are operated in the United Kingdom by Shopsense Retail Technologies (UK) Limited, a company incorporated under the Companies Act 2006 with its registered office at 10 John Street, London, WC1N 2EB ("Company", "we", "us", or "our"). The Company Is authorised to offer, promote, and sublicense the various Software Solutions and to grant Partners a non-exclusive, limited, non-transferable, non-assignable, royalty-free, revocable access to use the Solutions for the purposes of referring and consulting.

    2. For the purpose of this Privacy Policy, Fynd Partner is built to register and engage with the Company under one or more Partner categories — including Referral Partner, Agency/Service Partner, Technology/Integration Partner, and Affiliate Partner — for the purpose of offering Partner Services to Converted Leads and/or to the Company, in accordance with the Terms of Service governing the Partner Portal.

    3. This privacy policy ("Privacy Policy"), together with the Terms of Service, governs your use of the Platform and describes our policies and procedures on the collection, use, disclosure, processing, protection, transfer, and storage of your information (defined hereinafter) provided to us by you. By using, browsing, accessing, or registering on the Platform you agree to be bound by the terms of this Privacy Policy and consent to the collection, storage, possession, dealing, handling, sharing, disclosure or transfer of your information in accordance with the terms of this Privacy Policy. We shall not use your information in any manner except as provided under this Privacy Policy or as otherwise permitted by applicable Data Protection Legislation. Capitalised terms used herein, if not defined, shall have the same meaning as ascribed to them under the Terms of Service.

    4. Please note that the Services on the Platform are offered from the United Kingdom. However, you may be able to access or browse the Website from outside the United Kingdom. The data protection laws of the country you access the Website from may differ from those of the United Kingdom. By visiting this Website, providing your Information or registering as a Partner, you expressly agree to be bound by the terms and conditions of this Privacy Policy, the Terms of Service and all other Platform Policies listed and notified on the Platform, and agree to be governed by the laws of England and Wales, including but not limited to the laws applicable to data protection and privacy. If you do not agree, please do not use or access our Website.

    5. This policy is applicable to users who browse the Platform, use the Services and/or create an account on the Platform ("you", "your", "Users").

    6. This document is governed by the UK General Data Protection Regulation ("UK GDPR"), the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 ("PECR"), and any rules, regulations, and guidance issued and made effective thereunder, together with any amended or successor legislation (collectively, "Data Protection Legislation"). This electronic record is generated by a computer system and does not require any physical or digital signature.

    7. This Privacy Policy sets out the type of information collected from Partners, including any special category data, the purpose, means and modes of usage of such information, and how and to whom we shall disclose or transfer such information. This Privacy Policy governs the collection and processing of your own personal information as a Partner using the Platform. It is distinct from, and without prejudice to, your obligations as a data processor of Customer Data of Converted Leads under Clause 15 (Data Protection and Privacy) of the Terms of Service, which continue to apply in full.

    8. Where we rely on your consent to process your Information, you may at any time withdraw such consent by writing to us at partner-support@fyndplatform.com. However, please note that if you withdraw your consent, we may no longer be able to provide you with the corresponding service for which you have withdrawn consent. Withdrawal of consent will not affect the lawfulness of processing carried out prior to such withdrawal.

    9. Your privacy is extremely important to us. We believe in being transparent about our Privacy Policy so that you can focus on your partnership with us without worrying, and we maintain the confidentiality of all Information collected by us on the Platform, consistent with the data protection principles set out in applicable laws.

    10. Please take a moment to familiarise yourself with our Privacy Policy. If you do not agree with any provisions of this Privacy Policy, we advise you to not use or access the Platform.

    11. This Privacy Policy applies to all current and former Partners accessing or using our Platform, or otherwise engaging with us through email or other means of communication.

    12. Some of the information that we require you to provide on first accessing or registering on the Platform is mandatory and essential to your onboarding as a Partner, and hence if you do not provide such mandatory information, you may not be able to access some features of the Platform, including lead registration and Commission payout.

  2. Type of Information Collected

    1. You shall be asked to provide input and/or upload data and/or information relating to you, your business, your service(s), your product(s) or other individual(s) which, when combined with other pieces of information available with us, could reasonably allow you to be identified, including:

      1. Name, business or trading address, telephone number, email address, and other contact details;
      2. Date of birth, where relevant to age verification;
      3. Financial identifiers, viz. VAT/tax registration details, bank account details, and sort code/IBAN; and
      4. Any other usage and/or interaction details (collectively referred to as "Personal Data").
    2. You shall also provide input and/or upload, and we may thereupon collect, receive, process or store, certain special category data or other sensitive information consisting of, but not limited to:

      1. Passwords and account security credentials; and
      2. Any detail relating to the above Personal Data categories as provided to us for processing and/or providing Services, which shall be stored or processed under lawful basis (collectively, "Sensitive Information").
    3. You agree to provide information which is true, correct, up to date and accurate. You may access, amend, alter or request deletion of your information, partially or fully, by contacting us at partner-support@fyndplatform.com.

    4. Information and/or data provided, shared or uploaded as enumerated in Clause 2.1 and Clause 2.2 above shall collectively be referred to as "Information" under this Policy. The table below sets out the categories of Information and clarifies the purpose of collecting such data:

    5. You shall be asked to provide your Information, and we shall collect the same from you, in the following instances:

      1. anytime you visit, access, use or browse the Platform;
      2. when you register your Account as a Partner;
      3. when you submit a Qualified Sales Lead or undertake any transaction on the Platform;
      4. when you submit feedback, queries, or support requests;
      5. when you interact with the Platform through cookies, log files, and similar tracking technologies; and
      6. we may also collect your Information from third-party service providers or Affiliated entities in order to further facilitate the Services, improve our quality, or fulfil any Commission payout or reporting obligations.
    6. We shall share your Information and use it consistent with the provisions of this Privacy Policy and as permitted under Data Protection Legislation. Where required, we may also combine it with other information to provide and improve our Services, content, and Partner Portal functionality.

    7. You agree to provide Information which is true, correct, up to date and accurate. You may access, amend, alter or request deletion of your Information, partially or fully, by contacting us at partner-support@fyndplatform.com.

    8. You understand and acknowledge that the Platform and Services are not intended for use by individuals under the age of 18 ("Minors"). We do not knowingly collect any personal information from Minors, nor do we knowingly provide any services to Minors. If we become aware that we have inadvertently collected personal information from a Minor, we will take appropriate steps to delete such information within a reasonable timeframe, in accordance with applicable Data Protection Legislation. If a parent or legal guardian becomes aware that their child has provided personal information on the Platform without their consent, they may contact us at dpo@gofynd.com to request the deletion of such information. We disclaim any liability or responsibility for any harm, loss, or damage suffered by a Minor resulting from the use of the Platform and/or Services in contravention of this Privacy Policy or the Terms of Service.

  3. Lawful Basis for Processing
    We only process your Information where we have a valid lawful basis to do so under applicable laws, which may include one or more of the following, depending on the purpose:

    1. Consent — where you have given clear consent for us to process your Information for a specific purpose;
    2. Performance of a contract — where processing is necessary to perform the Terms of Service or to take steps at your request prior to onboarding you as a Partner;
    3. Legal obligation — where processing is necessary for us to comply with the law, including tax, KYC/AML, and sanctions requirements; and
    4. Legitimate interests — where processing is necessary for our legitimate interests (such as fraud prevention, Platform security, business administration, and improving our Services), provided such interests are not overridden by your interests or fundamental rights.
  4. Use of Information Collected
    We shall collect, use, manage or process your Information for the following purposes:

    1. for creating and giving you access to your registered Partner Account on the Platform;
    2. to manage your Account, authenticate you, and enable Qualified Sales Lead submission, tracking, and Commission processing;
    3. to compute, reconcile and disburse Commission, including via the Monthly Reconciliation Report;
    4. to develop, deliver, process and improve our products, services and the Partner Portal in order to personalise and improve your experience based on usage patterns;
    5. to send you marketing and promotional communications, subject to applicable consent and PECR requirements, about our products, services, offers, updates, and upcoming events, including order confirmations, invoices, technical notices, security alerts or other service-related information;
    6. for internal analytical and research purposes such as auditing, data analysis or internal functions, including the audit referred to under Clause 21 (Audit) of the Terms of Service;
    7. to meet any legal or regulatory requirement or comply with a request from any governmental, judicial or regulatory authority (including the ICO), including tax, KYC/AML, sanctions, audit and fraud prevention requirements;
    8. to provide to our Affiliates for operational, support and compliance purposes;
    9. to resolve any request, dispute, grievance or complaint raised by you in relation to your use of the Platform; and
    10. for any other purpose as may be required or permitted under applicable Data Protection Legislation.
  5. Disclosure & International Transfers of Information

    1. We may from time to time be required to disclose the Information collected from you to relevant third-party service providers who assist us in facilitating, and/or improving, the provision of Services on the Platform, viz. our Affiliates (including Shopsense Retail Technologies Limited in India and Yavi Technologies FZCO), and third-party payment processors used to disburse Commission. By using the Platform, you acknowledge such disclosure of your Information to such third-party service providers. We ensure that such third-party service providers are bound by reasonable confidentiality obligations and/or use, maintain and follow generally accepted industry and security standards with respect to such Information.

    2. We may also disclose your Information when such disclosure is requisitioned under any law, court order, or regulatory requirement (including a requirement of the ICO), or when we, acting reasonably, deem it necessary to protect our rights or the rights of other Partners, to prevent harm to persons or property, or to address fraud and credit risk.

    3. We may also disclose or transfer your Information to any third party as part of a reorganisation or sale of assets, division or transfer of part or all of our business. We shall ensure that any third party to which we transfer or sell our assets has appropriate confidentiality and security measures, at least as protective as those described in this Privacy Policy, to handle your Information. You will have the opportunity to opt out of any such transfer if the new entity's planned processing of your Information differs materially from that set out in this Privacy Policy.

    4. Your Information may be stored, processed and transferred to our facilities and servers in India and/or other countries as part of our group operations, including to our Affiliate Shopsense Retail Technologies Limited (India). Where such Information is transferred outside the United Kingdom, we shall ensure that appropriate safeguards recognised by the ICO are in place, which may include the UK International Data Transfer Agreement, an addendum to the EU Standard Contractual Clauses, or reliance on an applicable adequacy regulation, in each case in accordance with UK GDPR Chapter V.

    5. A third-party payment gateway service provider may be required to collect certain financial information from you, including your bank account or payment details (collectively, "Financial Information"). All Financial Information collected from you by such third-party payment gateway providers will be used only for the purpose it has been collected for, viz. billing and payment processes. The Financial Information is transacted through secure digital platforms of approved payment gateways under encryption, complying with reasonably expected technology standards. The verification of Financial Information shall be accomplished only by you through a process of authentication in which we shall have no role to play, and hence we shall bear no liability in relation to the same. We shall neither be liable nor responsible for any actions or inactions of third-party payment gateway providers or any breach of representations and warranties given by them, nor shall we be obligated to mediate or resolve any dispute between you and such providers.

    6. While we take reasonable steps to ensure your Information is protected in accordance with Data Protection Legislation, you are advised to exercise reasonable discretion when providing Information, including Financial Information, given that the internet is inherently susceptible to security risks.

    7. We reserve the right to conduct a security review at any time to validate your identity and other registration data provided by you, and to verify your use of the Services and financial transactions for potential breach of the Terms of Service and applicable law. By using the Platform, you authorise us, our staff and agents to use your Information, and to disclose it to third parties, for the purposes of validating the information you provide to us.

  6. Your Rights

    1. Under the UK GDPR, you have the following rights in respect of your Information, subject to applicable exemptions:

      1. the right to be informed about how your Information is collected and used;
      2. the right of access to a copy of your Information;
      3. the right to rectification of inaccurate or incomplete Information;
      4. the right to erasure of your Information in certain circumstances ("right to be forgotten");
      5. the right to restrict processing of your Information in certain circumstances;
      6. the right to data portability, allowing you to obtain and reuse your Information for your own purposes;
      7. the right to object to processing of your Information, including processing carried out for direct marketing or on the basis of legitimate interests;
      8. rights in relation to automated decision-making and profiling; and
      9. the right to withdraw consent at any time, where processing is based on consent.

We will respond to your request within one month, as required under the UK GDPR, save where an extension is permitted due to the complexity or number of requests received.

    3. If you are not satisfied with how we have handled your Information or any request made by you, you have the right to lodge a complaint with the Information Commissioner's Office (ICO) at www.ico.org.uk, or with the supervisory authority in your country of residence.

  7. Security

    1. The security of your Information is important to us. We have implemented security policies, rules, and technical and organisational measures, as required under the applicable law, including firewalls, TLS encryption, transport layer security, and other physical and electronic security measures, to protect your Information from unauthorised access, improper use or disclosure, unauthorised modification, and unlawful destruction or accidental loss.

    2. It is clarified that, although we make best efforts to collect, store, process, and transmit your Information in a secure operating environment that is not open to the public, there is no such thing as complete security, and we do not guarantee that there will be no unintended disclosures of Information or security breaches. You agree not to hold us responsible for any breach of security, or for any action of third parties that receive your Information, or events beyond our reasonable control, including acts of government, computer hacking, unauthorised access to computer data and storage devices, computer crashes, or breach of security and encryption.

    3. In the event of a personal data breach that is likely to result in a risk to your rights and freedoms, we shall notify the ICO without undue delay and, where required, notify you directly, in accordance with UK GDPR laws. If it comes to your knowledge that your Information is being misused or used for any illegal or fraudulent activity, you are required to inform us immediately.   8. Cookies Policy

    1. Due to the communications standards on the internet, when you visit, access or browse the Platform, we automatically receive various electronic identification data, such as the uniform resource locator of the site which you visit, access or browse the Platform, details of the website you visit on leaving the Platform, the internet protocol ("IP") address, device information (including device name, device type, operating system, time zones, and data identifiers), browser data (type of web browser you are using and the name of your internet service provider), and location data, access logs, and usage behaviour (collectively, "Technical Data"). The Technical Data is used to maintain login sessions, analyse overall User trends, help us improve our Services, and serve personalised advertising via third parties (if any).

    2. In accordance with the Privacy and Electronic Communications Regulations 2003 (PECR), we will only place non-essential cookies (such as analytics or advertising cookies) on your device where you have given your consent, which you may manage at any time through the cookie consent banner or your browser settings. Strictly necessary cookies, which are required for the Platform to function, do not require consent but are listed below for transparency.     3. We may keep records of communications received from and made to Partners for the purpose of administration of Services, research and development, training, business intelligence, or business development. We may share such records with third parties when required by law or to facilitate the Services.

  9. Opt-Out and Marketing Preferences

    1. If you choose to engage with any service offered by a third-party service provider through the Platform, we may share your Information with such third parties to facilitate the provision of their services to you. In such instances, these third-party service providers may market their own services, send promotional emails, or engage in other promotional communication with you. We shall not be liable for any such communications or interactions between you and the third-party service providers.

    2. We may send you promotional offers, product updates, or service announcements based on your preferences and, where required by PECR, your consent. If you wish to remove your contact information from all our mailing lists and newsletters, you may click the "unsubscribe" link or follow the instructions in each email, update your communication preferences in your account settings, or contact us at partner-support@fyndplatform.com. Please note that you may still receive transactional or service-related messages that are necessary for your Account and Commission management.

  10. Retention & Deletion of Information

    1. We will retain your Information for a period necessary to fulfil any legal, regulatory or internal business requirements, or as required or permitted under applicable Data Protection Legislation, including any retention required for audit purposes under Clause 21 (Audit) of the Terms of Service, consistent with the applicable laws.

    2. Deletion requests under the following circumstances may be denied: (i) where required by applicable government or regulatory mandates; (ii) in the event of incomplete Commission transactions or reconciliation; or (iii) if the request is found to be fraudulent or invalid.

  11. Modification

    1. We reserve the right to modify and/or amend this Privacy Policy at any time.

    2. The Privacy Policy, as and when modified, shall be updated on the Platform. We encourage you to review this Privacy Policy whenever you visit our Platform to understand how your Information is used.

  12. Governing Law
    This Privacy Policy shall be governed by and construed in accordance with the laws of England and Wales. Subject to the arbitration provisions set out in Clause 20 of the Terms of Service, the courts of England and Wales shall have exclusive jurisdiction to hear and determine any dispute regarding or arising out of this Privacy Policy.

  13. Severability
    Whenever possible, each section of this Privacy Policy shall be interpreted in a manner so as to be valid under applicable law. However, in the event any provision is held to be prohibited or invalid, such provision shall be ineffective only to the extent of such prohibition or invalidity, without invalidating the remainder of such provision or the other remaining provisions of this Privacy Policy.
